Corporate, M&A & Investment
Corporate Law
Corporate law is the foundation every company stands on. We accompany a business from formation to maturity — incorporation and registration, day-to-day governance, the relationships between shareholders, and the measured reorganisation of groups.
What we do
- Business formation and structuring — sole proprietors (ФОП), LLCs (ТОВ), representative offices of foreign companies
- Corporate governance and day-to-day support of operations
- Shareholder and partnership agreements
- Reorganisation — merger, accession, division and spin-off
- Corporate secretarial work and maintenance of corporate records
- Exit of participants, reallocation of shares and resolution of corporate conflicts
- Liquidation and the orderly winding-up of operations
Common questions
- Sole proprietorship or LLC — which to choose?
- A sole proprietorship is simpler to administer and tax but carries unlimited personal liability; an LLC limits liability to the contribution and is better suited to partners and investment. The choice turns on scale, risk and growth plans — we advise once all are weighed.
- Can a foreigner be the sole owner of a Ukrainian company?
- Yes. A foreign individual or company may own 100% of a Ukrainian LLC. Certain regulated sectors carry restrictions, which we verify before registration.
